ABB plans to spin off its robotics division as a separately listed company

ABB has announced plans to spin off its Robotics division into a separately listed company, with the proposed listing expected in the second quarter of 2026. The company intends to present the spin-off proposal for approval at its 2026 Annual General Meeting. If approved, the spin-off will be executed through a dividend in-kind, with ABB shareholders receiving shares in the new entity, provisionally named ABB Robotics, in proportion to their current holdings.

The planned separation is part of ABB’s broader strategic direction to streamline its operations and focus on core business areas. ABB’s Chairman Peter Voser stated that establishing ABB Robotics as an independent company is intended to improve customer value, enhance growth opportunities, and strengthen talent acquisition for both entities by enabling more focused governance and capital allocation.

ABB Robotics, which generated $2.3 billion in revenue in 2024, accounted for approximately 7 percent of the ABB Group’s total revenue. The division reported an operational EBITA margin of 12.1 percent and employs around 7,000 people. The company operates a regional manufacturing model with production hubs in Sweden, China, and the United States. According to ABB, more than 80 percent of ABB Robotics’ product offering is software and AI-enabled, serving industries with needs ranging from productivity and flexibility improvements to sustainable operations.

ABB CEO Morten Wierod noted that the Robotics division operates with distinct market dynamics compared to other ABB businesses and has limited synergies with the remainder of the group, supporting the rationale for a stand-alone structure.

In conjunction with the spin-off, ABB’s Machine Automation division—currently part of the Robotics & Discrete Automation business area—will be integrated into the Process Automation business area from the first quarter of 2026. ABB stated that this realignment is intended to leverage technology synergies, particularly in software and control systems.

The planned spin-off follows ABB’s earlier move to separate its turbocharging unit, Accelleron, in 2022, aligning with the company’s continuing strategy to refine its operational focus in electrification and automation.
